Declaration of Trust
This declaration of trust ("the Deed") is made on 21 September 2022 by the COMMUNITY ASSEMBLY OF THE BRITISH ISLES (CABI) which is established as a private members' association ("the Association") bound by a formal constitution and the respective roles and responsibilities of appointed office bearers.
WHEREAS the treasurer holds and distributes donations, affiliate commissions and profits from online sales on behalf of CABI whereby it is contemplated that further donations may be paid or transferred to the treasurer upon the same trusts.
NOW THIS DECLARATION WITNESSES AS FOLLOWS:
Administration
The Association constituted by the Deed and its funds shall be administered and managed under the name of John Gilbert, MD (AV), MHA, SAC Dip, FGAV, MBCS, MIET, C.Eng., LCGI., Community Assembly of the British Isles, Community Health Initiative, Community Light Brigade, Community Law Courts and Community Peace Service.
Treasurer
The treasurer of the Association and it's charitable income ("the Fund) shall be John Gilbert of 10 Orchard Park, Station Road, Bugle, The Duchy of Cornwall, PL26 8NW as appointed by CABI until such time as this role is transferred according to the CABI constitution.
Donations
The treasurer shall hold the Fund upon trust to apply the income, and at its discretion, so far as may be permissible, the capital of the Fund.
Governance
In furtherance of the Fund but not otherwise the treasurer may exercise the governance expressed in the constitution of CABI including any of the following powers:
- to raise funds and invite and receive contributions, provided that in raising funds the treasurer shall not undertake any substantial permanent trading activity and shall conform to any relevant lawful regulations;
- to buy, take on lease or in exchange, hire or otherwise acquire any property necessary for the achievement of the Fund and to maintain and equip it for use;
- subject to any consents required to sell, lease or otherwise dispose of all or any part of the property comprised in the Fund;
- subject to any lawful consents, to borrow money and to charge the whole or any part of the Fund with repayment of the money so borrowed;
- to co-operate with members of CABI operating in furtherance of the Fund or of similar charitable purposes and to exchange information and advice with them;
- to establish or support any charitable trusts, associations or institutions formed for the Fund or any of them;
- to employ such staff as are necessary for the proper pursuit of the Fund and to make all reasonable and necessary provision for their payment;
- to charge against the Fund the proportion of the cost of administrative overheads incurred by the treasurer both in the administration of CABI and in the discharge of other functions which are attributable to the administration of the CABI;
- to transfer the Fund or any part thereof to projects and services responsible for the maintenance, development and provision of CABI services and projects for the benefit of CABI and it's members as a whole.
- the general desirability of making the transfer subject to the CABI constitution which will ensure that the Fund so acquired, improved or maintained will continue to be used for the purposes for which the funds were transferred;
- to make regulations from time to time, within the limits of this Deed, for the management of CABI and for the conduct of its operations including the deposit of money at a bank and the custody of documents;
- to do all such other lawful things as are necessary for the achievement of the Fund.
Accounts
The treasurer shall comply with the constitution in the keeping of accounting records for CABI; in the preparation and publication of annual statements of account for CABI; and, in the availability of the statements of account for CABI members.
Amendments
The treasurer may amend the provisions of this Declaration of Trust by agreement and due process as per the constitution with any amendments published accordingly.
